1. Acceptance of these terms

These Terms of Use (“Terms”) form a binding agreement between you (“you”, “the user”) and Inspirito Ventures Private Limited, a company incorporated under the Companies Act with CIN U93000MH2013PTC245437 (“Inspirito”, “we”, “us”, “our”), governing your access to and use of the website at inspirito.in (“the Site”).

By accessing the Site, browsing pages, downloading documents, or submitting an enquiry, you confirm that you have read these Terms, understood them, and agree to be bound by them. If you do not agree, please discontinue use of the Site.

2. Eligibility to use the Site

You confirm that: (a) you are at least 18 years of age, or you are accessing the Site under the supervision of a parent or legal guardian; (b) you have the legal capacity under applicable law to enter into a binding agreement; and (c) you are not prohibited from using the Site by any law applicable to you.

If you are accessing the Site on behalf of a company, partnership, LLP, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Permitted use of the Site

This Site is published to describe our services, share our thinking, and invite business enquiries. You may:

• Submit false, misleading, or fraudulent information through any form or communication channel.
• Introduce viruses, trojans, or other malicious code through the Site.
• Use the Site or its contents in a manner that infringes our intellectual property or that of any third party.
• Send spam, unsolicited communication, or marketing material to email addresses or contact details published on the Site.

4. Intellectual property

4.1 Site content. All content on this Site — including but not limited to text, layouts, design elements, graphics, logos, illustrations, photographs, audio, video, code, methodology descriptions, and case studies — is owned by, or licensed to, Inspirito Ventures Pvt Ltd. This content is protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international IP treaties.

4.2 No licence by use. Use of the Site does not grant you any licence to reproduce, distribute, modify, transmit, publicly display, perform, broadcast, or create derivative works from any content on the Site, except as expressly permitted in Section 3.

4.3 Trademarks. “Inspirito”, “Inspirito Ventures”, “TravoCRM”, “Samyati”, and associated logos and design elements are trademarks of Inspirito Ventures Pvt Ltd. Use of these marks without prior written permission is prohibited, except for purposes of factual reference (e.g., journalism or comparative review) where such use is permitted by law.

4.4 Third-party trademarks. Logos and trademarks of third parties appearing on the Site (such as client logos in the “trusted by” section) belong to their respective owners and are displayed with permission to the best of our knowledge.

5. Service engagements are separate contracts

Information on the Site — including service descriptions, methodologies, timelines, pricing indications, and case studies — is provided for general guidance only. Nothing on the Site constitutes a binding offer, quotation, or commitment to provide services.

All actual service engagements between you and Inspirito Ventures Pvt Ltd are governed by a separate, signed Scope of Work (SOW) or Master Services Agreement (MSA) between the parties. The terms in any signed SOW or MSA shall prevail over inconsistent statements on the Site.

Submitting an enquiry through the Site does not create a service relationship; a service relationship is created only upon mutual signing of an SOW or MSA and receipt of any agreed advance payment.

6. Case study and outcome disclosures

Case studies, testimonials, and outcome metrics published on the Site (or in related material) describe specific historical engagements and the results obtained for those clients in their specific contexts. These do not constitute a guarantee, warranty, or representation that similar results will be obtained for any other client or engagement.

Performance of any business website depends on a wide range of factors outside our control — market dynamics, ad spend, product-market fit, sales execution, seasonal trends, and others. We will share our methodology and best efforts; we cannot and do not guarantee specific business outcomes.

7. Disclaimers and warranties

To the fullest extent permitted by law, the Site is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or freedom from viruses or other harmful code.

We make reasonable efforts to ensure the Site is accurate and up-to-date but do not warrant that:

• The Site will be uninterrupted, error-free, or available at all times.
• All information on the Site is complete, accurate, or current.
• Defects will be corrected within any specific timeframe.

8. Limitation of liability

To the maximum extent permitted by Indian law, Inspirito Ventures Pvt Ltd, its directors, employees, officers, and affiliates shall not be liable to you for any:

• Indirect, incidental, consequential, special, exemplary, or punitive damages.
• Loss of profits, revenue, business, goodwill, data, or anticipated savings.
• Damages arising from your use or inability to use the Site, from reliance on Site content, or from any errors or omissions in Site content.

For any direct damages that may arise notwithstanding the above, our aggregate liability is limited to INR 10,000 (Indian Rupees Ten Thousand) or the equivalent of the amount paid by you to us in the past twelve months, whichever is greater.

Nothing in these Terms limits liability that cannot be limited under applicable law.

9. External links

The Site contains links to third-party websites (such as our LinkedIn page, hotel-brand websites referenced from the Samyati case study, hosting providers, and partner products like TravoCRM’s own domain). We are not responsible for the content, privacy practices, terms, or availability of these external sites. Inclusion of a link does not imply endorsement.

10. Indemnity

You agree to indemnify and hold harmless Inspirito Ventures Pvt Ltd, its directors, employees, and affiliates from any claim, loss, damage, liability, cost, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your unlawful use of the Site or its content; (c) your infringement of any rights of any third party in connection with your use of the Site.

11. Privacy

Your privacy is important to us. Personal information collected through the Site is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to these Terms

We may update these Terms from time to time to reflect changes in law, our services, or operational practices. The current version, with last-updated date, will always be available at this URL. Material changes will be notified via a prominent banner on the Site for at least 14 days. Your continued use of the Site after such changes take effect constitutes acceptance of the revised Terms.

13. Termination

Termination does not affect any provisions of these Terms that, by their nature, should survive (including IP, disclaimers, limitation of liability, indemnity, and governing law).

14. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or in connection with these Terms or use of the Site shall be subject to the exclusive jurisdiction of the competent courts at Pune, Maharashtra, India.

15. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and any signed engagement contract, constitute the entire agreement between you and us regarding the Site, and supersede all prior or contemporaneous communications and proposals.
